ARTICLE 1 – PURPOSE

These General Terms and Conditions of Sale (GTCS) govern all contractual relationships between AKORIUM and any Client in connection with:

  • Training services (on-site, remote, blended learning)
  • Certification training programs
  • Consulting services
  • The sale of digital content
  • The sale of examination rights or third-party products

Any order, quotation signature or online payment implies full and unconditional acceptance of these GTCS.

The Client expressly waives its own general terms and conditions, unless expressly agreed otherwise in writing by AKORIUM.

ARTICLE 2 – PRICING

Prices are expressed in euros, either excluding or including taxes depending on the Client’s status.

The applicable price is the one in force on the date of the order.

AKORIUM se réserve le droit de modifier ses AKORIUM reserves the right to modify its prices at any time, without retroactive effect on confirmed orders.à tout moment, sans effet rétroactif sur les commandes validées.

ARTICLE 3 – CURRENCY INDEXATION AND EXCHANGE RATE RISK (EUR / USD)

Certain services include products or services invoiced to AKORIUM in U.S. dollars (USD), including examination fees, licenses or fees related to international third-party organizations.

3.1 Online Payment

When the Client pays in euros for a product including a portion indexed to the U.S. dollar:

  • The displayed price is calculated based on the exchange rate applicable at the time the price was established;
  • The definitive exchange rate shall be the rate in force on the date AKORIUM effectively purchases the relevant product or service from the third-party organization.

3.2 Adjustment Clause

In the event of a fluctuation in the EUR/USD exchange rate exceeding 2% between:

  • The date of the order; 
    and
  • The date of the effective purchase from the third party,

AKORIUM may apply an adjustment corresponding to the actual variation observed.

If the Client refuses the adjustment, the order may be cancelled with a full refund of the amounts paid.

3.3 Time Gap

The Client acknowledges that a time gap may exist between payment and the effective purchase from the third party and expressly accepts the principle of currency indexation.

ARTICLE 4 – PAYMENT TERMS

Unless otherwise specified:

  • Payment is due within 21 working days from the invoice date (B2B);
  • Immediate payment is required for any online order.

In the event of late payment:

  • Statutory interest increased by applicable legal surcharges shall apply;
  • A fixed compensation of €40 for recovery costs shall be due (in accordance with Article L441-10 of the French Commercial Code);
  • AKORIUM may immediately suspend services or access.

ARTICLE 5 – EXAMINATION FEES AND THIRD-PARTY PRODUCTS

Examination fees, licenses or amounts paid to third-party organizations:

  • Are definitively acquired;
  • Are non-refundable;
  • Are subject to the specific terms and conditions of the relevant organization.

AKORIUM shall not be held liable for decisions, postponements, pricing changes or regulatory modifications decided by the third-party organization.

ARTICLE 6 – INTELLECTUAL PROPERTY

All materials, methodologies, tools, diagnostics, matrices, serious games, e-learning content and documents provided by AKORIUM are protected under intellectual property law.

The Client is prohibited from:

  • Reproducing any content;
  • Distributing any content;
  • Making any content available to third parties;
  • Commercially exploiting any content;
  • Using any content to train other persons.

This prohibition applies for a period of five (5) years from the date of the service.

ARTICLE 7 – NO GUARANTEE OF RESULTS

AKORIUM is bound by an obligation of means (best efforts obligation).

No guarantee is given regarding:

  • Obtaining a certification;
  • Passing an examination;
  • Measurable improvement of performance indicators;
  • Any specific economic result.

The implementation of recommendations remains under the sole responsibility of the Client.

ARTICLE 8 – ACCESS TO DIGITAL PLATFORMS

AKORIUM operates:

  1. A commercial platform (Odoo);
  2. A separate educational platform (“Akorium Platform”).

Each digital environment is legally distinct.

Access to the Akorium Platform implies:

  • Acceptance of specific terms and conditions;
  • Acceptance of a separate GDPR agreement.

Access credentials are personal, non-transferable and time-limited.

Any sharing of login credentials shall result in immediate suspension of access without refund.

ARTICLE 9 – PERSONAL DATA

Within the commercial platform, only data strictly necessary for administrative processing is collected.

The Akorium Platform is governed by a separate data protection policy accepted upon registration.

ARTICLE 10 – AVAILABILITY AND CYBERSECURITY

AKORIUM implements all reasonable means to ensure service availability.

AKORIUM shall not be held liable in the event of:

  • Temporary interruption;
  • Cyberattack;
  • Hosting provider failure;
  • Force majeure.

ARTICLE 11 – TRAINING CANCELLATION

Cancellation by the Client:

  • More than 30 days before the session: no charge;
  • Between 30 and 15 days: 50% of the total amount;
  • Less than 15 days: 100% of the total amount.

Absence on the day of training results in full invoicing.

ARTICLE 12 – CLAIMS

Any claim must be submitted in writing within eight (8) days following the service.

ARTICLE 13 – MEDIATION (PRIVATE CLIENTS)

In accordance with the applicable provisions of French law relating to consumer mediation, an approved consumer mediator will be appointed and their contact details will be provided to the Client upon simple request.


ARTICLE 14 – GOVERNING LAW AND JURISDICTION

These GTCS are governed by French law.

Any dispute shall fall under the exclusive jurisdiction of the Commercial Court of Bourg-en-Bresse, unless mandatory legal provisions provide otherwise.
